HappyCloud.Host Terms of Service

Introduction

By using or accessing HappyCloud.Host services, the customer agrees to comply with the terms and conditions outlined in this policy. This document governs the use of our services, establishes user responsibilities, and defines HappyCloud.Host’s limitations of liability. Neither HappyCloud.Host nor its information providers are responsible for damages arising from the user’s use of or inability to use HappyCloud.Host services.

Legal Compliance

The user agrees to use HappyCloud.Host services in a manner consistent with all applicable local, state, or federal laws. If an account is not used in accordance with these laws, HappyCloud.Host reserves the right to cooperate with all or any law enforcement agencies.

Acceptable Use Policy

The user must comply with the acceptable use policies of any network they connect to, including the HappyCloud.Host system. The following are prohibited:

Posting a single article or substantially similar articles to an excessive number of newsgroups (more than 20) or off-topic posts that provoke complaints from regular readers.

Sending unsolicited mass emails that provoke complaints from recipients.

Using a HappyCloud.Host account as a mail drop for responses to activities conducted from another provider or to advertise a website hosted on HappyCloud.Host.

Continued harassment of other individuals on the Internet after being asked to stop by those individuals or HappyCloud.Host.

Impersonating another user or falsifying one’s username in emails, Usenet postings, IRC, or other Internet services (this does not preclude the use of nicknames in IRC or anonymous remailer services).

Hosting explicit adult content or pornographic websites on shared or reseller servers.

Using software that facilitates violations of copyrights, trademarks, patents, or other proprietary rights.

Running IRC and associated programs (e.g., psybnc, bots) or scripts commonly used for abuse, attacks, or flooding threatening, harassing, or obscene content.

Using unauthenticated proxies, including open mail proxies or unprotected anonymous web surfing proxies.

Any material submitted for publication through a user’s account must not violate or infringe any copyright, trademark, patent, statutory, common law, or proprietary rights of others, or contain anything obscene or libelous. Violations of these rules are grounds for immediate suspension of service pending investigation by HappyCloud.Host and may result in account termination. Users whose accounts are terminated for these infractions are responsible for the cost of labor to clean up and respond to complaints incurred by HappyCloud.Host.

Resource Usage

The user agrees not to use excessive resources that may affect server stability. Limits include:

No more than 100% of one CPU core, 1 GB of memory, 1024 Kbps of read/write operations, 100 processes (NPROC), or 20 entry processes.

Scheduled tasks (cron jobs) must not execute more than once every 30 minutes unless specified by the script provider and will be niced to 15 or greater.

Each account may not send more than 300 emails per hour.

If excessive resource usage is detected, HappyCloud.Host may take corrective action, including killing processes, disabling, or temporarily suspending the account to protect the server. If the account is deemed unsuitable for a shared or reseller environment, the customer will be notified with alternative solutions, such as a premium hosting plan, VPS, or dedicated server. HappyCloud.Host is the sole arbiter of what constitutes a violation of this provision and reserves the right to adjust these limits at its sole discretion.

All unmetered dedicated servers and virtual private servers are installed on 100 Mbps shared bandwidth ports unless sold as a specified port size or requested as a capped port. HappyCloud.Host reserves the right to monitor network usage and throttle the available speed if a service significantly exceeds average usage to conserve network resources. This generally excludes short spikes but includes sustained transfers of significantly larger-than-average bandwidth. If a client’s data transfer rate affects other HappyCloud.Host clientele, HappyCloud.Host may throttle the service causing the issue.

Backups

HappyCloud.Host performs daily and weekly backups for accounts with less than 20 GB and 150,000 inodes per cPanel user. However, this functionality is not guaranteed, and no backup method is failsafe. Customers are strongly advised to maintain their own backups. In the event of data loss, HappyCloud.Host will use reasonable endeavors to restore data but is not responsible for lost data, time, income, or any other resources due to faulty backups, non-existent backups, or faulty hardware. No warranties are made regarding backup reliability.

Inode Limits

Each file (e.g., web page, image, email) uses one inode. The limits are:

Individual cPanel accounts: 50,000 inodes (warning issued if exceeded; suspension at 150,000 inodes).

Virtual private servers: A global limit of 5 million inodes.

Reseller plans: A reseller-wide limit of 1 million inodes, with a maximum of 50,000 inodes per user for budget reseller plans. Budget resellers have a reseller-wide limit of 250,000 inodes.

Exceeding 50,000 inodes on a cPanel account triggers an automatic warning in cPanel > Stats > Inodes. Accounts reaching 150,000 inodes may be suspended if no action is taken to reduce inode count. Host may request an upgrade to a dedicated server or provide time to resolve the issue; failure to act may lead to suspension. Accounts  constantly creating/deleting large numbers of files, maintaining hundreds of thousands of files, or causing filesystem damage may be flagged for review or suspension. A common cause of excessive inodes is leaving the default email address enabled without checking. To disable the default mailbox, configure in cPanel: “Mail” > “Default Address” > “Set Default Address” > “:fail: No such user here”.

Prohibited Services

Users may not use HappyCloud.Host services to offer free services, including but not limited to free web hosting, email, blogging, home pages, image hosting, or trial accounts. Accounts may not be used to resell web hosting services, VPS, or dedicated servers. Using servers as file storage or download repositories for files such as MP3s, videos, games, photos, images, audio, music, or backups is strictly prohibited. This does not prevent downloads on a website but prohibits operating sites specializing in downloads (e.g., Download.com) or using accounts as storage repositories. Violations may result in immediate account suspension, with or without notice, as deemed necessary by HappyCloud.Host.

Prohibited Content

Hosting or distributing illegal content, including but not limited to content that infringes copyrights, child pornography, terrorism, or fraudulent activities, is prohibited, as outlined in the acceptable use policy.

Abuse of Staff

HappyCloud.Host treats customers with respect and expects the same in return. Abuse toward staff, including but not limited to offensive language, profanity, insults, yelling, shouting, deliberate use of all capital letters in written communication, insults based on personal characteristics (e.g., race, ethnicity, sex, religion), or providing false information, may result in account suspension and a request to take business elsewhere. In case of termination for abusive conduct, a 5-day notice will be provided, and only the unused portion of prepaid service will be refunded.

Payments

The user agrees to pay all charges related to their account according to the rates in effect at the time of service commencement. Payments are processed automatically on the monthly anniversary date, and charges may be applied to the user’s credit card at any time. If a customer chooses to pay by credit card, they grant HappyCloud.Host the right to charge payments to that card on each due date and agree not to challenge or dispute hosting payment charges. HappyCloud.Host reserves the right to suspend service access upon indication of credit problems, including delinquent payments or rejected credit card charges.

Non-Payment

Web Hosting: Payments are due in full on the monthly anniversary date. Failure to remit payment for 5 consecutive days may result in service suspension, and failure for 7 consecutive days may lead to termination of access.

Dedicated Servers and VPS: Full payment is due on the monthly anniversary date. Non-payment for 3 consecutive days may result in suspension, and failure for 5 consecutive days will lead to termination.

All customer data remaining after 14 days of non-payment will be deleted for security and privacy reasons.

Payment Notices

It is the customer’s responsibility to ensure sufficient funds are available in their payment method and to maintain a valid email address for receiving reminders. Payment reminders are sent on the first, third, and fifth days after the due date, with potential suspension from the seventh day for non-payment. Once a reminder is dispatched, it is considered valid. HappyCloud.Host is not responsible for undelivered emails due to spam filters, non-deliverable addresses, or network issues.

Public Feedback

HappyCloud.Host has a zero-tolerance policy for posting negative feedback on public platforms about the company or its employees before submitting a ticket to the “Suggestions & Complaints” department. Such actions may result in immediate account termination without refund. Publicly posting negative feedback waives privacy protections, including those under HappyCloud.Host’s privacy policy, confidentiality agreement, or non-disclosure agreement. While customers have the right to post feedback, doing so without prior discussion is considered unfair and unprofessional, and HappyCloud.Host discourages such clients from signing up.

Refunds

HappyCloud.Host offers a 30-day money-back guarantee on fees for hosting services. If a customer cancels within 30 days from the date of the welcome email or order placement (whichever comes first), a full refund will be issued without questions, provided no prior refund has been claimed under this guarantee. Customers who have previously obtained a refund under this policy will have their account canceled without a refund. Changes to services (e.g., adding/removing services, changing hosting plans) do not qualify for an additional 30-day guarantee, which applies only to the first order of web hosting services. This policy does not apply to additional services, including domain registration, domain parking, dedicated servers, VPS, or overage fees.

Cancellations

Clients may cancel their account at any time and for any reason by submitting a cancellation request through the client area at my.HappyCloud.Host > Services > My Services > Product/Service > View Details > Management Actions > Request Cancellation. A 5-day cancellation notice is required prior to the billing anniversary date for monthly services. Failure to provide this notice will result in a full monthly billing cycle. Cancellation requests are not accepted via email, postal mail, or phone. If a client cancels a recurring order through a third party, HappyCloud.Host reserves the right to terminate the account immediately without prior notice. All outstanding balances must be paid in full before cancellation, and all fees paid are non-refundable unless covered by the 30-day money-back guarantee.

Jurisdiction

HappyCloud.Host services are governed by applicable laws based on the customer’s location and server locations, offering global coverage without country restrictions.

Disasters and Liability

HappyCloud.Host is not liable for data loss or service interruptions due to natural disasters, technical failures, or events beyond its control. As a reseller, HappyCloud.Host relies on its providers’ infrastructure.

Privacy Policy

The handling of personal data complies with HappyCloud.Host’s Privacy Policy, which details the use, protection, and rights of users regarding their information.

Infrastructure Ownership

HappyCloud.Host operates as a reseller and does not own the data centers or physical servers used for its services.

Agreement Modifications

HappyCloud.Host may modify these terms and conditions with notice published online. Continued use of services after such notice constitutes acceptance of the modifications. This agreement, user account, contract, and billing will automatically renew unless canceled in writing prior to the renewal date.
